TRADING FANATICS, LLC — TERMS OF SERVICE & SOFTWARE LICENSE AGREEMENT
Section 1: Non-Custodial Impersonal Publisher Status. Trading Fanatics, LLC ("Company") operates solely as a publisher of impersonal financial analysis tools and algorithmic quantitative research. In accordance with Section 202(a)(11)(D) of the Investment Advisers Act of 1940 and the Supreme Court precedent in Lowe v. SEC, Company does not render personalized investment advice, manage client assets, or offer tailored portfolio recommendations.
Section 2: Independent Self-Directed Execution. Subscriber acknowledges that all trade alerts, signals, or webhooks are delivered without reference to individual financial situation, risk tolerance, or investment objectives. Any order routed to Charles Schwab or any executing broker-dealer via SignalStack or manual entry is initiated solely at Subscriber's discretionary direction and risk.
Section 3: Derivative Risk Disclosure. Options transactions involve substantial leverage and risk of severe capital loss. Past algorithmic performance or paper trading balances do not guarantee future returns. Company disclaims all liability for exchange slippage, API downtime, or execution latencies.
FINRA RULE 3210 & ASSOCIATED PERSON ATTESTATION
Section 1: Broker-Dealer Affiliation Certification. Under FINRA Rule 3210 (Accounts at Other Financial Institutions), associated persons of a member broker-dealer must obtain prior written consent from their employer prior to opening or maintaining an outside trading or trading-related information account.
Section 2: Member Attestation. By checking the acknowledgement box below, Subscriber legally certifies and warrants that: (a) Subscriber and all members of their immediate household are NOT registered representatives, employees, or associated persons of a FINRA member broker-dealer; OR (b) if Subscriber is an associated person, Subscriber has supplied written notification to and secured explicit compliance consent from their employing firm prior to accessing WeTrade Options Club services.
Section 1: Governing Law & Venue. This Agreement and any disputes arising out of or related to membership in WeTrade Options Club or software provided by Trading Fanatics, LLC shall be governed by, construed, and enforced exclusively under the laws of the State of Florida, without regard to conflict of law principles.
Section 2: Mandatory Binding Arbitration. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in the State of Florida. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Section 3: Class Action & Jury Waiver; Damages Limitation. Subscriber expressly waives any right to participate in class actions or representative proceedings against Trading Fanatics, LLC. Total liability of Company for any claim shall be strictly capped at the cumulative membership fees paid by Subscriber during the one (1) month preceding the event giving rise to liability.
